Terms of Service

These Terms of Service (the "Terms") govern your use of nouz, a daily profit-and-loss tracking service for small retail businesses, operated by Ibrahim Ölmez (Einzelunternehmen), Markhofgasse 12–18, 1030 Wien, Austria ("we", "us", "nouz"). By signing up for or using the service, you agree to these Terms.
1. The service
nouz is a web application that lets you record daily revenue, expenses, products and fixed costs per business location and view the resulting profit-and-loss figures. Features may be added, changed, or removed over time.
2. Who can sign up
You may sign up if you are at least 18 years old and have the legal capacity to enter into a contract. If you are signing up on behalf of a company or other legal entity, you confirm that you have authority to bind that entity to these Terms.
3. Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that happens under your account. Let us know promptly at support@nouz.co if you suspect unauthorised access.
4. Subscription plans and pricing
- We offer three subscription plans — Starter, Growth and Pro — billed monthly. Current prices are shown on the signup and settings pages.
- A valid payment method is required at signup. Your subscription begins immediately and we charge the payment method on file for the first month at signup and each subsequent billing cycle until you cancel.
- Each plan includes an annual gross-revenue limit (Starter: €100,000, Growth: €500,000, Pro: unlimited). If your recorded annual gross revenue reaches the limit for your plan, you will need to upgrade to continue recording revenue.
- Prices are shown net (excluding VAT). For Austrian customers, 20% Austrian VAT is added at checkout. For customers in other EU countries, the applicable local VAT rate is applied. For valid-VAT-ID EU B2B customers, the reverse-charge mechanism applies.
5. Payment
Payments are processed by Stripe Payments Europe Ltd. Card data is collected and stored by Stripe; we never see your full card number. A failed payment puts your account into a "past due" state while Stripe automatically retries. If all retries fail, your subscription is cancelled.
6. Cancellation and refunds
6.1 Cancellation
You may cancel your subscription at any time from Settings → Billing. The cancellation takes effect at the end of your current billing period. You retain access until that date and are not charged again.
6.2 Withdrawal right (Austrian / EU consumers) — important
Under the Austrian Fern- und Auswärtsgeschäfte-Gesetz (FAGG) and Directive 2011/83/EU, consumers in the EU normally have a 14-day right of withdrawal when concluding a contract online.
You expressly agree that we begin providing the service immediately upon signup and you acknowledge that, by starting to use the service during the 14-day withdrawal period, you lose your right of withdrawal in accordance with §18(1)(11) FAGG.
This does not affect the statutory rights of consumers in cases of defective performance.
6.3 Refund policy
Because service begins immediately upon signup and you retain access through the end of each paid billing cycle, we do not provide refunds for subscription fees already charged. If you are unhappy with the service, cancel before the next billing cycle to avoid further charges. This policy does not limit any mandatory statutory rights under Austrian law.
7. Availability
We aim to keep the service available at all times but do not guarantee any specific uptime at launch. Planned maintenance is communicated in advance when feasible. We are not liable for temporary unavailability caused by third-party infrastructure providers, force majeure, or factors outside our reasonable control.
8. Your data
You retain ownership of all business data you enter into nouz. You grant us a limited right to process that data solely to provide and improve the service. Our processing of personal data is described in the Privacy Policy.
9. Acceptable use
You agree not to:
- Use the service for any unlawful purpose or in violation of any applicable law.
- Attempt to gain unauthorised access to any account or system.
- Probe, scan, reverse-engineer, or test the vulnerability of the service, except with our prior written consent.
- Send automated requests at a rate intended to degrade the service for other users.
- Upload or transmit any content that infringes a third party's rights.
We may suspend or terminate accounts that breach this section.
10. Intellectual property
The service, including all software, design, and content we provide, is the property of Ibrahim Ölmez (nouz) and is protected by Austrian and international intellectual property law. Nothing in these Terms transfers any ownership to you.
11. Liability
To the maximum extent permitted by Austrian law:
- We are liable for damages caused intentionally or by gross negligence without limitation.
- For damages caused by ordinary negligence, our aggregate liability is limited to the total subscription fees you paid us in the twelve (12) months preceding the event giving rise to the claim.
- We are not liable for indirect damages, loss of profit, lost data, or consequential damages.
Nothing in these Terms excludes or limits liability for personal injury, fraud, or any other liability that cannot be excluded by Austrian law.
12. Indemnity
You agree to indemnify us against third-party claims arising from your breach of these Terms or your misuse of the service.
13. Termination
We may suspend or terminate your account with reasonable notice if you materially breach these Terms, for legal or security reasons, or if we discontinue the service entirely. If we discontinue the service, we will provide at least 30 days' advance notice and a way to export your data.
You may terminate at any time by cancelling your subscription (see Section 6.1) and then deleting your account from Settings.
14. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we notify you by email at least 14 days before the change takes effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
15. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Austria, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Vienna, Austria, unless applicable mandatory consumer-protection law assigns jurisdiction to a different court.
16. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision shall be replaced by a provision that most closely reflects the economic intent of the original.
